4. Service-Specific Terms

• Everly Portal: Use of the dashboard is subject to subscription terms. Unauthorized sharing of accounts is prohibited.
• Everly Studio: Design work is delivered under project agreements. Intellectual property rights remain with Everly Studio until payment is complete.
• Everly Labs: Products and research offerings may be experimental and are provided "as is."

5. Payments & Billing

• Certain Services may require payment.
• By purchasing, you authorize us to charge your provided payment method.
• All fees are non-refundable unless otherwise stated in writing.

6. Intellectual Property

• All content, designs, code, and trademarks are owned by Everly Labs, LLC or licensed to us.
• You may not use our intellectual property without prior written consent.

7. User Content

• You retain ownership of any content you upload.
• By submitting content, you grant us a non-exclusive, worldwide license to use, display, and distribute it as necessary to provide the Services.

8. Termination

We may suspend or terminate your access if you violate these Terms or use the Services in a harmful way. You may stop using our Services at any time.

9. Disclaimers

• Services are provided "AS IS" and "AS AVAILABLE."
• We do not guarantee uninterrupted or error-free service.
• To the fullest extent permitted by law, we disclaim all warranties.

10. Limitation of Liability

To the extent permitted by law, Everly Labs, LLC is not liable for indirect, incidental, or consequential damages arising from your use of the Services. Our total liability will not exceed the amount you paid us in the last 12 months.

11. Governing Law

These Terms are governed by the laws of the State of Oklahoma, USA (unless your jurisdiction requires otherwise).

12. Changes

We may update these Terms from time to time. Continued use of the Services means you accept the updated Terms.

13. Refund & Cancellation Policy

• Everly Portal (SaaS Subscriptions):
  • Subscriptions renew automatically unless canceled before the next billing cycle.
  • You may cancel your subscription at any time via your account settings.
  • Refunds are not provided for partial billing cycles. If you cancel, you will retain access to your subscription until the end of the paid period.
  • In cases of technical failure or billing errors, please contact us within 7 days of the charge for resolution.
• Everly Studio (Design Services):
  • Deposits or initial project payments are non-refundable, as they secure your booking and initial work effort.
  • If you terminate a project after work has begun, you will be billed for the portion of work completed up to cancellation.
  • Final deliverables remain the property of Everly Studio until payment is received in full.
• Everly Labs (Other Offerings):
  • Experimental or consulting-based services may have separate agreements. Refund terms will be clearly stated in project-specific contracts.
